Protective Coatings
Situation
Providing finishing services on over half a billion dollars of metal and composite parts annually, Protective Coatings
is the leading aerospace parts finishing house in the Pacific Northwest. The company was owned by the second generation
who had been involved with the business since they were young adults. The owners had been approached by a variety of
suitors over the years but when Precision Castparts Corp. ("PCC") came calling the owners were particularly intrigued.
ZS Role
Zachary Scott was retained on an exclusive and confidential basis to represent the owners to consider their
strategic alternatives, to provide perspectives on value and ultimately to negotiate a sale to PCC as well as
to coordinate PCC's due diligence effort.
Results
The Company was sold to PCC who, in addition to serving third party aerospace subcontractors, intends
to use Protective Coatings to provide finishing services to its growing portfolio of aerospace parts
manufacturing businesses.
Testimonial
"Don and I had never been through a transaction of this magnitude and knew that we needed the
assistance of experts. We interviewed a number of investment banking firms and found Zachary Scott
to be a refreshing change from other firms we interviewed. ZS was a quick study, thoroughly
understanding the economics of our business and able to articulate the value proposition to
PCC as was proven by the results ZS achieved for us. ZS was invaluable in helping us to prepare
for sale, anticipating what would be required by the buyer to close and guiding and directing the
due diligence process. I would highly recommend ZS to others considering a sale, even if they
think they already know who the likely buyers are."
