Harry’s Fresh Foods (“Harry’s” of the “Company”) is a leading producer of chef-inspired fresh refrigerated and packaged soups, entrees, sides, sauces and desserts for the retail and foodservice markets. Following its acquisition of Campbell’s Stockpot soup plant, Harry’s owned the most efficient plant in the industry. Harry’s owner, the Joshua Green Corporation (“JGC”), elected to explore a strategic business combination with an industry participant to further improve unit production costs and increase scale.
Zachary Scott was engaged by the JGC/Harry’s team to evaluate Harry’s strategic position and negotiate a merger of the business.
Harry’s was merged with Kettle Cuisine, a portfolio company of Kainos Capital. Together, Harry’s and Kettle Cuisine combine to form one of the industry’s largest and most efficient operations.
